1. DEFINITIONS
Digital Products: Refers to any online courses, mentorship programs, downloadable content, and any other materials offered through Michelle Smit's platform.
User: Any individual or entity that purchases or accesses digital products or services through Michelle Smit's platform.
Content: All materials provided within digital products, including text, video, audio, and downloadable files.
2. ACCEPTANCE OF TERMS
By accessing and using the services provided by Michelle Smit ("Coach," "I," "me," or "my"), you ("Client," "you," or "your") agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services.
3. SERVICES PROVIDED
Michelle Smit provides business strategy, coaching, and strategic consulting services to female coaches and entrepreneurs. Services may include but are not limited to:
1:1 coaching containers
Strategic consulting intensives
Group programmes
Digital courses and resources
Email communications and support
4. PAYMENT TERMS
I provide flexible and secure payment options, including Kajabi, Stripe, PayPal, and direct bank transfers.
Detailed Payment Obligations:
Currency and Payment Method: All payments are to be made in Euros unless a specific agreement for an alternative currency is documented. Our accepted payment methods are detailed during the purchase process, offering a variety of options to suit your needs.
Installment Plans: For customers opting for installment payment plans, adherence to the scheduled dates for payment is mandatory. The installment amounts are calculated in Euros to avoid issues related to currency fluctuation, ensuring consistency across all payments. Any deviations from this policy must be explicitly agreed upon and recorded in writing.
Disputes and Chargebacks: Users who dispute charges or request unauthorized chargebacks remain liable for the following:
All legal, administrative, and processing fees incurred by Michelle Smit
The full outstanding balance of the program, regardless of the dispute outcome
Debt collection and legal action in their country of residence
5. REFUND AND CANCELLATION POLICY
Our program is for committed individuals only. Success requires full participation, which is why we do not offer refunds.
All sales of digital products & coaching services are final and non-refundable. Users may not cancel or request refunds once access to digital products is granted.
Chargebacks or disputes will not exempt Users from their contractual payment obligations. If a User fails to meet payment commitments, Michelle Smit reserves the right to revoke access and take necessary legal action.
This policy is aligned with industry standards for digital products, reflecting the immediate access, consumable nature, and proprietary value of the content provided. By purchasing, users agree to these terms and acknowledge that failure to comply may result in legal action and additional collection efforts.
6. CLIENT RESPONSIBILITIES
Participation: You are responsible for actively participating in sessions, completing any agreed-upon actions, and implementing strategies discussed.
Honesty: You agree to provide accurate information and communicate honestly about your business situation and challenges.
Timeliness: You agree to arrive punctually to scheduled sessions and provide at least 24 hours notice for cancellations or rescheduling requests.
7. COACH RESPONSIBILITIES
Professional Service: I will provide coaching services to the best of my ability and experience.
Confidentiality: I will keep all client information confidential except where disclosure is required by law.
Boundaries: I will maintain professional boundaries and provide services within my scope of expertise.
8. CANCELLATION & RESCHEDULING
Client Cancellations: Sessions cancelled with less than 24 hours' notice will be forfeited unless due to emergency circumstances.
No-Show Policy: Sessions where the client does not attend and has provided no advance notice will be considered completed. No makeup session or refund will be offered for no-show appointments.
Coach Cancellations: If I need to cancel a session, you will receive full credit for that session.
Program Completion: All program sessions must be used within 12 months of purchase unless otherwise agreed in writing.
9. INTELLECTUAL PROPERTY
Materials: All materials, frameworks, and content provided remain the intellectual property of Michelle Smit.
Usage Rights: You may use materials for your personal business implementation but may not resell, redistribute, or teach the content to others without written permission.
Client Success Stories: I may use your success stories and testimonials for marketing purposes unless you specifically opt out in writing.
10. LIMITATION OF LIABILITY
Results Disclaimer: While I am committed to supporting your success, individual results cannot be guaranteed. Your success depends on your implementation of strategies and various factors beyond my control.
No Guarantees: No specific business outcomes, income levels, or results are promised or guaranteed.
Liability Limit: My total liability for any claims arising from our working relationship shall not exceed the amount you paid for services.
11. GDPR & DATA PRIVACY COMPLIANCE
We adhere to all GDPR and data protection regulations. Clients' personal data is stored securely and used solely for the purpose of program delivery.
Any requests related to GDPR must be submitted in writing and will be reviewed by our compliance team. We will respond within 30 days as required by law.
In the case of requests for training recordings containing personal data, we are not required to provide the full recording but may, at our discretion, provide a transcript of relevant portions containing the requester's personal data.
Misuse of GDPR claims to seek refunds or discredit the program will not be tolerated.
12. REFUND & PROGRAM COMMITMENT POLICY
Due to the digital nature of our program and the direct coaching support provided, refunds are not available once access has been granted to training materials and coaching has commenced.
Clients agree to actively participate in the program in good faith. Attempts to collect content for dispute purposes, misrepresent claims, or engage in bad-faith actions may result in termination from the program without refund.
13. DISPUTE RESOLUTION
Governing Law: These terms are governed by Portuguese law.
Jurisdiction: Any legal disputes will be subject to the jurisdiction of Portuguese courts.
Resolution Process: Any disputes will first be addressed through direct communication. If resolution cannot be reached, mediation may be pursued before legal action.
14. TERMINATION
These Terms are effective unless and until terminated by Michelle Smit. Michelle Smit may terminate the agreement with immediate effect without notice if you fail to comply with any term or provision of these Terms.
15. AMENDMENTS TO TERMS AND CONDITIONS
Michelle Smit reserves the right to amend these Terms at any time. Users will be notified of significant changes through email, and amendments will take effect immediately upon announcement.
